The following terms and conditions apply to the sponsorship of ArtsNFlies.com online videos.

Sponsorship

ArtsNFlies.com will accept a business, company and/or organization as a paid sponsor for a video segment produced by ArtsNFlies.com and offered for viewing online via the internet. The video will be listed on the ArtsNFlies.com online video library page(s). At the discretion of ArtsNFlies.com the video may also be listed on other online video sources, including but not limited to Google and Yahoo.

Acceptable Sponsors

ArtsNFlies.com will consider a sponsorship from most entities (businesses, companies, organizations and/or individuals). Your entity does not necessarily have to be a fishing or outdoors related. Most commercial, non-commercial, club or organization, or personal sponsorships are acceptable.

However, sponsorship requests from the following types of entities will not be considered:

• No pornographic or adult oriented materials or direct affiliations to such materials.
• No gambling, lottery or "games of chance" services.
• No multi-level-marketing services.
• No pirated software or links to such materials.
• No hackers programs, archives or links to such materials.
• No warez sites or links to such materials.
• No entity that may be considered prejudicial or abrasive to a individuals Race, Creed or Color.
• No entity whose content is promoting or advocating violence against individuals, groups or Organizations or links to such content.
• No entity whose content is promoting or advocating illegal actions or practices, or links to such content.
• No entity  of any illegal nature.
• No entity whose sole or majority content is simply links or referrals to other entities.
• No entity that may be a direct competitor to the products and services offered by ArtsNFlies.com and/or conflict with the mission of ArtsNFlies.com.

In all cases ArtsNFlies.com reserves the right to decline a sponsorship by any entity for any reason at any time. Further, should the content or goal of any entity previously accepted for a sponsorship in any form such that it no longer meets the terms of this policy (as deemed by ArtsNFlies.com who is the sole arbiter) we reserve the right to cancel such sponsorship without prior notice and without refund.

The Sponsorship Service

In exchange for the sponsorship fee ArtsNFlies.com will create a frame in the beginning and end of a video segment that names your entity as the sponsor of that particular video segment. The frame can contain information about your entity such as the name, address/location, telephone/FAX number, web address/email address, and a brief description of the products and/or services your entity offers. If you have a logo, picture or other graphic we will make a "best effort" to incorporate it into the frame.

In all cases ArtsNFlies.com reserves the right as the producer and editor of the video to make the final decisions regarding the layout of the sponsorship frames (including but not limited to fonts, color, arrangement, editing, graphics, and background sounds).

Length of Sponsorship

Your sponsorship of the specific online video segment will remain in effect indefinitely unless the terms of this service are violated. There is however no guarantee as to the length of time a particular video segment will be available online for viewing.

Additionally, if the terms of sponsorship are violated ArtsNFlies.com reserves the right to promptly terminate the sponsorship and remove your entity's sponsor frames from the video. Further, the video will again be allegeable for sponsorship from another entity.

Scope of Sponsorship

Sponsorships apply to the online use of the particular video segment only. Unless otherwise agreed to in advance and in writing sponsorships do not apply to videos shown in other venues including but not limited to presentations, demonstrations, and the possible future use of video segments in broadcast in any form, DVD and/or other for-sale production.

Assignment of a Sponsor to a Video

In order to provide your entity with the maximum exposure for your sponsorship fee only one(1) sponsor will be assigned to each video segment. Sponsorships will be assigned to video segments on a first-come/first-served basis. Sponsorship of a specific video, either currently in production or one already available online but un-sponsored, may be possible upon request but is not guaranteed.

Sponsorship Updates

Due to the complexities of video editing and production once the video has been produced and is "live" for viewing online any additions and/or updates to the sponsorship page are not possible.  For example, this means if your company address changes a year after you begin your sponsorship we are unable to change the sponsorship frames to reflect the new address.

Sponsorship Fee

The sponsorship fee is a one-time fee to be paid in full prior to implementing the sponsorship of an online video segment. Once the sponsorship has been applied to a video segment cancellation at any time by request of the sponsor will not receive a refund. If the cancellation is at the request of ArtsNFlies.com and with in 30 calendar days from the start of the sponsorship a refund for the sponsorship fee will be remitted with in 90 calendar days of cancellation.

Video Ownership and Use

The video being sponsored remains in total the sole property of ArtsNFlies.com who can use the video either online or offline for any purpose. The sponsor may not copy, reproduce, sell and/or distribute the video without the prior written consent of ArtsNFlies.com. No consideration will be given to the sponsor for the use of the video, either current or future. The sponsor agrees to permit ArtsNFlies.com to use the video segment for any purpose and in any venue, online or offline.

General Release and Waiver of Liability

Sponsorship service is provided "as is" by ArtsNFlies.com and without any promises, warranties and/or guarantees in regard to the service. This includes but is not limited to increasing hits visits or traffic on your web site, contacts to your business, increased sales, better search engine rankings, readiness and/or reliability of the technology used to create the video segments,  readiness and/or reliability of the technology used display the online videos, server up time, and loading speeds.

If a banner, icon, image or other graphic is provided for the sponsorship frame, you agree that you have legal authority to provide ArtsNFlies.com the graphic without copyright or intellectual property restrictions.  In all cases ArtsNFlies.com reserves the right to decline the use of an icon, button or banner for any reason. Further, if we accept the sponsorship request you grant ArtsNFlies.com permission to use your entity's name and/or likeness without  consideration to market and promote the products and services of ArtsNFlies.com.

By submitting a request for a sponsorship you agree to indemnify and "hold harmless" ArtsNFlies.com, it's owners, employees, official representatives and their assigns from any claims resulting from such sponsorships, including but not limited to copyright infringement, intellectual property rights, "acts of God" or any other damages or claims.

ArtsNFlies.com reserves the right to suspend and/or cancel this sponsorship service, in part or in whole, at anytime and for any reason. No refunds will be issued if service is suspended and/or cancelled.

No part of this shall be considered a contract or exclusive agreement.
