The following terms and conditions which govern the free reciprocal link exchange offered by ArtsNFlies.com.

Link Exchange

ArtsNFlies.com will exchange a link or multiple links "in kind" with another internet site in exchange for a link or multiple links back from said site to ArtsNFlies.com. At this time, this link is provided "free of charge" charge by ArtsNFlies.com.

Acceptable Sites

In general, ArtsNFlies.com will consider a reciprocal link exchange from most sites. Your site does not necessarily have to be a fishing, outdoors or artistic site. Most commercial, non-commercial, club or organization, or personal pages are acceptable.

However, link requests from the following types of sites will not be considered:

• No pornographic or adult oriented materials or links to such materials.
• No pirated software or links to such materials.
• No hackers programs, archives or links to such materials.
• No warez sites or links to such materials.
• No content that may be considered prejudicial or abrasive to a individuals Race, Creed or Color.
• No content promoting or advocating violence against individuals, groups or Organizations or links to such content.
• No content promoting or advocating illegal actions or practices, or links to such content.
• No businesses of any illegal nature.
• No businesses that sell email lists or bulk email software.
• No site whose sole or majority content is simply links to other sites.
• No link that is only a sales/lead referral link to another site.

In all cases ArtsNFlies.com reserves the right to decline the exchange of reciprocal links with any site for any reason whatsoever. Further, should the content of any site previously accepted for a reciprocal link exchange change in any form such that it no longer meets the terms of this policy (as deemed by ArtsNFlies.com who is the sole arbiter) we reserve the right to cancel such exchange without prior notice. Notification of cancellation is described in the sections below.

The Service

ArtsNFlies.com will exchange links "in kind". This means we will place a link to your site on our web site in exchange for a similarly placed link on your site back to our web site.

For example, if you place a link to us on your home page, we will place a link back to you on our home page. If you place a link to us on your "Links Page" (e.g. Favorite Links, Other Links, Popular Links etc.) we will place a link back to your site on our "Links Page".

If you do not specify a specific placement for your link we will put it on our "Links Page" or any other location deemed suitable by us.

Additionally, ArtsNFlies.com will accept a graphic, icon, button or banner on our site linking to your site in return for a similar graphic, icon, button or banner on your site linking back to ArtsNFlies.com.

IMPORTANT: In all cases where ArtsNFlies.com supplies a graphic icon, button or banner for the reciprocal link you must save the file to your own local server and display the image by reading the file from your own local server. You may NOT load the graphic icon, button or banner by using an URL to obtain the file from the ArtsNFlies.com server each time your web's page is loaded (i.e. load by reference to the ArtsNFlies.com server). This would be considered an unauthorized use of ArtsNFlies.com's server's bandwidth and is not permitted!

Standards for graphics are as follows:

• Buttons or icons may be exchanged. Static or animated buttons and icons are acceptable. The max. size of any button or icon is 10k.
  
  
• Static or animated banners are acceptable. The max size of any banner is 15k.
  
  
• In all cases ArtsNFlies.com reserves the right to decline the use of an icon, button or banner for any reason.

Procedure

Use the Link Exchange Request form on our web site to request the exchange of links.

When a request for reciprocal link exchange is received at ArtsNFlies.com we will first review your site to ensure it meets our suitability standards are defined above. We will make a "best effort" to review your site within 10 business days of receiving your request.

We will send you via email a notice if we accept your request for reciprocal link or have declined the link.

If we accept the link request we will provide you with the HTML code and any graphics (icons, banners, buttons etc.) to put on your site. You may not change or modify the code we provide in any way.

After you have placed the link to ArtsNFlies.com on your site, you will send us a notice via email that the link has been placed. We will make a "best effort" to review and test the link with in 10 business days of receiving your notice.

If the link is acceptable we will then request the HTML code and any graphics (icons, banners, buttons etc.) from you in order to put the link to your site on the ArtsNFlies.com site.

Upon receiving your code and graphics (if any) we will make a "best effort" to add your link to our web site with in 5 business days. When the link has been added we will send you a notice via email. It will be up to you to test the link.

Links are added to our page on a first-come/first-served basis. We can not guarantee your position on our list. If you wish your link to be in a specific location on the list (e.g.: the first link) please contact us for arrangements.

Link Updates

You agree to notify ArtsNFlies.com if the URL address and/or graphics you have provided for the link to your site changes in anyway. ArtsNFlies.com will make a "best effort" to apply these updates as quickly as possible. ArtsNFlies.com is not responsible for monitoring or checking the validity of any URL link addresses you provide.

Further, we will send you any URL and/or graphics updates to our reciprocal link. You agree to apply these changes promptly and without delay. Any cost involved in maintaining the reciprocal link are your own and will not be paid for or reimbursed by ArtsNFlies.com.

Cost

This service is "free of charge" at this time. ArtsNFlies.com does not charge for the service of placing a reciprocal link on our site neither do we agree to pay you for such service on your site. Any costs incurred by you for establishing this reciprocal link exchange (including but not limited to programming/webmaster services, graphics development, hosting services, server storage, bandwidth and testing) are your own and will not be reimbursed and/or paid for in any way by ArtsNFlies.com.

If a specific location on the list is requested (as described above) ArtsNFlies.com reserves the right to charge a fee for this placement.

Suspension/Cancellation of Link Exchange

ArtsNFlies.com reserves the right to suspend or cancel the reciprocal link exchange at any time for any reason without prior notice. When such a suspension or cancellation occurs, ArtsNFlies.com will remove from our site the link to your site and make a best effort to notify you via email of the link removal or suspension. The notice will be sent within 24 hours of the link being removed or suspended.

You agree to remove the reciprocal link back to ArtsNFlies.com within 24 hours of the time the email notice has been sent. Failure to do so within that time frame may result in further actions. Any cost involved in removing the reciprocal link are your own and will not be paid for or reimbursed by ArtsNFlies.com

Waiver of Liability

This reciprocal link exchange is provided "as is" by ArtsNFlies.com and without any promises, warranties and/or guarantees in regard to the service. This includes but is not limited to increasing hits visits or traffic on your site, increased sales, better search engine rankings, readiness and/or reliability of the technology used to perform the link exchange, server up time, and page loading speeds.

By submitting a request for a reciprocal link exchange you agree to "hold harmless" ArtsNFlies.com, it's owners, employees, official representatives and their assigns from any claims resulting from such changes, including but not limited to copyright infringement, intellectual property rights, "acts of God" or any other damages.

If a banner, icon, image or other graphic is provided for the link, you agree that you have legal authority to provide ArtsNFlies.com the graphic without copyright or intellectual property restrictions.

Further, if we accept the reciprocal link request you grant ArtsNFlies.com permission to use your site's name without cost or other consideration to market and promote the products and services of ArtsNFlies.com.

No part of this agreement shall be considered a contract or exclusive agreement.
